GCF Proceeds definition

GCF Proceeds means funds transferred, provided or disbursed by the Fund via the Trustee or via an account designated by the Fund, in connection with a Funded Activity pursuant to this Agreement or in accordance with the terms and conditions of an FAA, which for the purposes of this Agreement shall not include any fees payable to the Accredited Entity pursuant to Clause 12;
GCF Proceeds means the amount of financial resources requested by the AE from the GCF in the Funding Proposal or, if different, the amount approved by the Board in respect of a particular Funded Activity;

Examples of GCF Proceeds in a sentence

  • GCF Proceeds made available to the Accredited Entity may be disbursed from the Trust Fund.

  • The Accredited Entity shall be responsible for the overall management, implementation and supervision of each Funded Activity in line with its own internal rules, policies and procedures, including administering and managing the use of GCF Proceeds, as well as the monitoring, evaluation and reporting responsibilities as set forth in the relevant Funding Proposal and FAA.

  • Disbursement, administration and processing of GCF Proceeds by the Accredited Entity shall be in accordance with the Accredited Entity’s rules, policies and procedures applicable to the extent and scope of its Accreditation, in order to allow it to comply with its obligations under this Agreement.

  • The Accredited Entity shall be solely responsible for the administration of GCF Proceeds and Other GCF Funds and will carry out such administration in accordance with its regulations and rules, standard practices and procedures and with at least the same degree of care as it uses in the administration of its own funds or funds for which it has management or investment responsibility, taking into account the provisions of this Agreement.

  • Disbursement of GCF Proceeds by the Fund shall be carried out in accordance with this Agreement and the applicable FAA, subject to the availability of unallocated resources in the Trust Fund and satisfaction of the conditions to disbursements set out in Annex 2 (Conditions Precedent to Disbursement) or otherwise in the applicable FAA.

  • Disbursement of GCF Proceeds by the Fund shall be carried out in accordance with this Agreement and the applicable FAA, subject to the availability of unallocated resources in the Trust Fund and satisfaction of the conditions to disbursements set out in Annex 2 (Condition Precedent to Disbursement) or otherwise in the applicable FAA.

  • For the avoidance of doubt, the Accredited Entity Fee shall not be included in the GCF Proceeds, and shall be paid by the Fund to the Accredited Entity separately from the GCF Proceeds.

  • Loss Proceeds means, collectively, all Insurance Proceeds and all Condemnation Proceeds.

Each Additional Selling Agent shall further agree to comply with the requirement under applicable federal and state securities laws to deliver to each offeree a Prospectus and any amendments or supplements thereto (including summary financial information, if available, after the Trust has commenced operations). Neither the Additional Selling Agent nor any of its employees, agents or representatives will use or distribute any marketing material or information other than that prepared by the Trust and the Managing Owner.

  • Net Casualty Proceeds means, with respect to any Casualty Event, the amount of any insurance proceeds or condemnation awards received by the Borrower or any of its U.S. Subsidiaries in connection with such Casualty Event (net of all collection or similar expenses related thereto), but excluding any proceeds or awards required to be paid to a creditor (other than the Lenders) which holds a first priority Lien permitted by clause (d) of Section 7.2.3 on the property which is the subject of such Casualty Event.
