The releases set forth in the General Releases are accepted by the parties hereto as compromises of disputed claims and comprise part of the transactions contemplated herein, and shall not be construed as an admission of liability on the part of any of the Parties hereto.
The General Releases referred to in Section 5.3, duly executed by the persons referred to in such Section.
Each of the Parties hereto agrees that none of them, nor any of their respective agents, employees, personal or legal representatives, successors or permitted assigns will bring, commence, institute, maintain or prosecute any action at law or proceeding in equity, or any legal proceeding whatsoever, or any claim for relief or damages, against any of the other Parties hereto which is based in whole or in part on any of the matters or claims released under the General Releases.

The term of this Agreement shall be from the date first written above through the payment of the Retention Payment pursuant to Subsection 1B above; provided however, that the Termination Agreement attached hereto as Exhibit A and the General Releases executed in accordance with Subsection 3A shall continue in effect; and provided further that this Agreement shall not constitute, or be deemed to constitute, a contract of employment for such term.
The Mutual General Releases shall in all respects be interpreted, enforced, and governed by and under the laws of the State of California.

The language of the Mutual General Releases has been approved by all Parties after the opportunity to consult with legal counsel and the language of the Mutual General Releases shall be construed as a whole according to its fair meaning and not strictly for or against either Party.
In consideration of the benefits provided for in the Agreement as well as the Mutual General Releases and, for other good and valuable consideration, the Parties give the releases, promises and commitments contained herein.
Nothing contained in this Agreement or the General Releases incorporated herein shall be considered an admission by either party of any wrongdoing under any Federal, state or local statute, public policy, tort law, contract law, common law or otherwise.
