Examples of General Sales Terms in a sentence

  • All orders assume that the client has full knowledge of these General Sales Terms, thus the client represents, expressly and irrevocably, that they have received them on this date, accept them and undertake to observe them.

  • Any amendments or variation to any Sales Agreement or these General Sales Terms shall require to be made in writing and shall be signed by both Parties.

  • The Sales Agreement and these General Sales Terms constitute the entire agreement between the Supplier and the Purchaser with respect to the delivery and provision of the Products and exclude and supersede prior representations of the Parties and any general purchasing conditions of the Purchaser or any other general or standard trading terms which may be written on or referred to in any order, request for quotation or other documentation used by the Purchaser.

  • All capitalised terms used in these General Sales Terms and in any of the Sale Agreements shall have the meanings specified for such terms in the Sale Agreement in question or section 18 ("Definitions") or in text of these General Sales Terms.

  • The Supplier shall be entitled to use subcontractors for the performance of its obligations under the Sales Agreement and these General Sales Terms without the prior consent of the Purchaser.

  • The delivery of the Products under any Sales Agreement and/or under the General Sales Terms shall not be construed as granting any express or implied rights or licenses to Supplier's Intellectual Property other than necessary for the use of the Products by the Purchaser, which use is known to the Supplier when entering into the Sales Agreement.

  • If any term of any Sales Agreement or these General Sales Terms is held invalid or unenforceable, such determination shall not invalidate or render unenforceable any other term of the Sales Agreement or these General Sales Terms.

  • The Supplier shall be liable to the Purchaser for the performance or non-performance of such subcontractors to the extent of Supplier's obligations under the Sales Agreement and these General Sales Terms.

  • Unless a separate agreement is entered between NECOMAL and the Customer, this General Sales Terms and Conditions shall apply to any provision of the Deliverables by NECOMAL to the Customer.

  • Except to the extent that this General Sales Terms and Conditions are varied by mutual consent in writing, this General Sales Terms and Conditions together with the Quotation/Proposal shall constitute the entire agreement and contract between both parties after NECOMAL Acceptance Date (as defined below) and shall prevail over the terms and conditions in the Customers’ Order(s), if any.

  • Sales territory means an area of exclusive sales responsibility for the brand or brands of beer sold by a supplier as designated by an agreement.

  • Three-Month Term SOFR Conventions means any determination, decision or election with respect to any technical, administrative or operational matter (including with respect to the manner and timing of the publication of Three-Month Term SOFR, or changes to the definition of “Floating Interest Period”, timing and frequency of determining Three-Month Term SOFR with respect to each Floating Interest Period and making payments of interest, rounding of amounts or tenors, and other administrative matters) that the Company decides may be appropriate to reflect the use of Three-Month Term SOFR as the Benchmark in a manner substantially consistent with market practice (or, if the Company decides that adoption of any portion of such market practice is not administratively feasible or if the Company determines that no market practice for the use of Three-Month Term SOFR exists, in such other manner as the Company determines is reasonably necessary).

  • Sales Draft means the paper form, whether electronically or manually imprinted, evidencing a sale Transaction.

  • Service Terms means the rights and restrictions for particular Services located at xxxx://xxx.xxxxxx.xxx/serviceterms (and any successor or related locations designated by us), as may be updated by us from time to time.
