Given Patent Rights definition

Given Patent Rights means all Patent Right now or hereafter owned (solely or jointly) by or licensed to Given and related to the Field, including without limitation those patents and patent applications set forth in Exhibit 12.07.

Examples of Given Patent Rights in a sentence

  • Except for the indemnification obligations set forth above, EES shall incur no liability to Given as a consequence of such litigation, the conduct of such litigation, or any unfavorable decision resulting from it, including any decision holding any of the Given Patent Rights invalid or unenforceable.

  • Each of Given and EES shall promptly notify the other in writing of any alleged or threatened infringement by a product in the Field of any patent included in Patent Rights and of any other Intellectual Property included in Given Patent Rights or acquired by either Party under this Agreement and related to the Field (“Third Party IP Infringement”) of which they become aware.
