Global Instrument definition

Global Instrument means a temporary Global Instrument and/or, as the context may require, a permanent Global Instrument, a CGN or a NGN, as the context may require;
Global Instrument means a CGI or an NGI;

  • No person shall be entitled to receive any payment in respect of the Instruments represented by this permanent Global Instrument that falls due after an Exchange Date for such Instruments, unless upon due presentation of this permanent Global Instrument for exchange, delivery of Definitive Instruments is improperly withheld or refused by or on behalf of the Issuer or the Issuer does not perform or comply with any one or more of what are expressed to be its obligations under any Definitive Instruments.

  • No payment falling due after the Exchange Date will be made on any Global Instrument unless exchange for an interest in a permanent Global Instrument or for Definitive Instruments is improperly withheld or refused.

  • The holder of a permanent Global Instrument shall (unless such permanent Global Instrument represents only one Instrument) be treated as being two persons for the purposes of any quorum requirements of a meeting of Instrumentholders and, at any such meeting, as having one vote in respect of each integral currency unit of the Specified Currency of the Instruments for which it may be exchanged in accordance with its terms.

  • Cancellation of any Instrument represented by a permanent Global Instrument which is required by the Conditions to be cancelled (other than upon its redemption) will be effected by reduction in the nominal amount of the relevant permanent Global Instrument.

"International Instrument Certificate" means, in relation to any series, an international instrument certificate representing a Holder's entire holding of Instruments of such series in the form or substantially in the form set out in Schedule 4 (Form of International Instrument Certificate). "International Registered Instrument" means an Instrument issued in registered form evidenced by an International Instrument Certificate issued or to be issued pursuant to Clause 3.7. "International Registrar" means Deutsche Bank Luxembourg S.A. "Issuer-ICSDs Agreement" means the agreement entered into between SEK and each of the ICSDs. "Local time" in relation to any payment is to the time in the city in which the relevant bank or the relevant branch or office thereof is located and any reference to "local banking days" in relation thereto is to days (other than Saturdays and Sundays) on which commercial banks are open for business in such city. "London Business Day" is to a day (other than Saturdays and Sundays) on which commercial banks are generally open for business in London. "Master Global Instrument Certificate" means a Global Instrument Certificate which is complete except that it requires: (a) a copy of the Final Terms in respect of the Tranche of Instruments to which it will relate to be attached thereto; (b) in the case of a Tranche of Instruments the subject of a Drawdown Prospectus, a copy of the Drawdown Prospectus in respect of the Tranche of Instruments to which it will relate to be attached thereto;
