Global Licensed Product definition

Global Licensed Product means, on a Global Target-by-Global Target basis [***]
Global Licensed Product means any Licensed Product directed to the Global Licensed Target.
Global Licensed Product shall have the meaning set forth in the Master Agreement.

  • Novartis will be responsible for the creation, preparation, production, reproduction and filing with the applicable Regulatory Authorities, of relevant written sales, promotion and advertising materials relating to each Global Licensed Product for use in the Novartis Territory.

  • Novartis will have the sole right, from time to time during the Term, to develop (and thereafter modify and update) a global branding strategy (including global positioning, messages, logo, colors and other visual branding elements) for each Global Licensed Product for use in the Field throughout the Novartis Territory.

  • Novartis will pay to Surface royalties on a Global Licensed Product-by-Global Licensed Product basis on Annual Net Sales for each Global Licensed Product at the royalty rates (“Global Royalty Rates”) set forth below (the “Global Net Sales Royalty”).

Global Licensed Product means, on a Global Target Pair-by-Global Target Pair basis, a product containing or comprising (or using as part of a Combination Product) a Global Licensed Antibody as an active ingredient, and all formulations, dosages and delivery systems thereof; provided that, a Global Licensed Product does not include any Antibodies, compounds or products of Xencor or any of its Affiliates other than the Global Licensed Antibody contained in or comprising such Global Licensed Product.
Global Licensed Product means the Global AT3 Licensed Products (as defined in the A&R AT3 License Terms) for so long as the A&R AT3 License Terms apply to any such Global AT3 Licensed Products.
Global Licensed Product means (i) if Genzyme exercises the Co-Co/Global Option for ALN-AS1, then ALN-AS1 as of the applicable Option Exercise Date, and (ii) if Genzyme exercises the Global Option for any Global Option Product, then such Global Option Product as of the applicable Option Exercise Date, in each case for as long as the Global License Terms apply to such Co-Co/Global Option Product or such Global Option Product.
Global Licensed Product means (i) if Genzyme exercises the Co-Co/Global Options for ALN-AS1 pursuant to the Master Agreement, then ALN-AS1 as of the applicable Option Exercise Date, (ii) if Genzyme exercises the Global Option or the Trailing Global Option for any Global Option Product pursuant to the Master Agreement, then such Global Option Product as of the applicable Option Exercise Date, (iii) if Genzyme exercises the Additional Global Option for any Global Option Product pursuant to the Master Agreement, then such Global Option Product as of the applicable Option Exercise Date, and (iv) if Genzyme exercises a Back-Up Option for any Back-Up Product pursuant to Section 7.1.5 (Back-Up Products), then such Back-Up Product as of the date of delivery of the Back-Up Option Exercise Notice, in each case (i) through (iv) above, for as long as the Global License Terms apply to ALN-AS1, such Global Option Product or such Back-Up Product.
