Global Registered Instrument definition

Global Registered Instrument means a Registered Instrument representing Instruments in Registered form that are registered in the name of a nominee for Euroclear, Clearstream, Luxembourg, DTC and/or any other clearing system and substantially in the form set out in Schedule 4 (Forms of Global Registered Instrument) hereto;
Global Registered Instrument means a registered global certificate issued pursuant to the Issue and Paying Agency Agreement representing registered instruments of one or more Tranches of the same Series that are registered in the name of a nominee or a common nominee for one or more Clearing Systems or Custodians.
Global Registered Instrument means a Global Registered Instrument substantially in the form set out in Schedule 1 (Form of Global Registered Instrument) hereto;

Examples of Global Registered Instrument in a sentence

  • Such persons shall have no claim directly against the Issuer in respect of payments due on the Instruments for so long as the Instruments are represented by such Global Instrument or Global Registered Instrument and such obligations of the Issuer will be discharged by payment to the bearer of such Global Instrument (or the registered holder of the Global Registered Instrument, as the case may be), in respect of each amount so paid.

  • Registered Instruments held in Euroclear and/or Clearstream, Luxembourg (or any other clearing system) will be represented by a Global Registered Instrument which will be registered in the name of a nominee for, and deposited with, a common depositary for Euroclear and Clearstream, Luxembourg (or such other relevant clearing system).

  • In contrast to mandatory carbon markets, they do so voluntarily and are not obliged to do so by regulation.

  • Each Global Registered Instrument will be registered in the name of a common depositary (or its nominee) for Euroclear and/or Clearstream, Luxembourg and/or any other relevant clearing system and the relevant Global Registered Instrument will be deposited on or about the issue date with the common depositary and will be exchangeable in accordance with its terms for Individual Instruments.

  • Restricted Instruments held in DTC will be represented by a Global Registered Instrument which will be registered in the name of a nominee for, and deposited with custodian for, DTC.

  • The Global Registered Instrument will become exchangeable in whole, but not in part, for individual Registered Instruments if (a) Euroclear or Clearstream, Luxembourg is closed for business for a continuous period of 14 days (other than by reason of legal holidays) or announces an intention permanently to cease business, (b) any of the circumstances described in Condition 8 occurs, or (C) at any time at the request of the registered Holder if so specified in the Final Terms.

  • Form of Registered Instruments Instruments of each Tranche of each Series to be issued in registered form ("Registered Instruments") will be in the form of either individual Instruments in registered form ("Individual Instruments") or a global Instrument in registered form (a "Global Registered Instrument"), in each case as specified in the relevant Final Terms.

  • Individual Instrument Certificates issued in exchange for interests in the Rule 144A Global Registered Instrument will bear the legends and be subject to the transfer restrictions set out under “Transfer Restrictions”.

  • All references in this Global Registered Instrument to an agreement, instrument or other document (including the Fiscal Agency Agreement and the Deed of Covenant) shall be construed as a reference to that agreement, instrument or other document as the same may be amended, supplemented, replaced or novated from time to time provided that, in the case of any amendment, supplement, replacement or novation made after the date hereof, it is made in accordance with the Conditions.

  • Registered Global Note means a Global Note, if issued by TCCI, being in the form or substantially in the form set out in Schedule 1 to the TCCI Note Agency Agreement (or in such other form as may be agreed between TCCI, the TCCI Registrar, the TCCI Transfer Agent and the relevant Purchaser(s)), or if issued by TMCC, being in the form or substantially in the form set out in Schedule 1 to the TMCC Note Agency Agreement (or such other form as may be agreed between TMCC, the TMCC Registrar, the TMCC Transfer Agent and the relevant Purchaser(s));

  • Registered Loan has the meaning set forth in Section 13.1(h) of the Agreement.
