Government Contract Bids definition

Government Contract Bids has the meaning given to such term in Section 3.14(a).
Government Contract Bids means quotations, bids and proposals for awards of new Government Contracts applicable to the Business made by the Company for which no award has been made and for which the Company believes there is a reasonable prospect that such an award to the Company may yet be made.
Government Contract Bids means any quotations, bids and/or proposals for awards of new Contracts with a Governmental Entity.

  • The Company has delivered or made available to Buyer true and complete copies of all Current Government Contracts and of all Government Contract Bids.

  • Each representation and/or certification made by the Company or any of its Subsidiaries that it was a small business concern and/or was qualified for other preferential status in each of its Government Contracts and Government Contract Bids was current and accurate as of its effective date.

  • Seller has not received any written notice of any outstanding material claims or contract disputes to which Seller is a party (i) relating to the Government Contracts or Government Contract Bids and involving either the Government, any prime contractor, any higher-tier subcontractor, vendor or any third party; or (ii) relating to the Government Contracts under the Contract Disputes Act or any other federal statute.

  • Each representation and/or certification made by the Company that it was a small business concern and/or was qualified for other preferential status in each of its Government Contracts and Government Contract Bids was current and accurate as of its effective date.

  • This representation includes all Government Contracts entered into or performed by the Seller since its inception, and all active or expired Government Contract Bids.

  • The Company and its Subsidiaries do not have any Government Contract Bids outstanding directly with a Governmental Entity.

  • All representations and certifications of the Acquired Companies and Seller set forth in or pertaining to Government Contracts and Government Contract Bids were complete and accurate in all material respects as of their effective date.

  • Except as set forth in Schedule 3.22(b) of the Company’s Disclosure Schedule, the Company has complied, in all material respects, with all statutory and regulatory requirements, including the Armed Services Procurement Act, the Federal Procurement and Administrative Services Act, the Federal Acquisition Regulation and related cost principles and the Cost Accounting Standards, where and as applicable to each of the Current Government Contracts and the Government Contract Bids.

  • Except as set forth on Schedule 3.14(d), to the Company’s Knowledge none of the Company’s Current Government Contracts or Government Contract Bids were solicited with reference to the Company’s small business status, small disadvantaged business status, protégé status, or other preferential status.

  • All representations and certifications of the Companies or the Seller set forth in or pertaining to Government Contracts and Government Contract Bids or Proposals were complete and accurate in all material respects as of their effective date.

Related to Government Contract Bids

  • Government Contracts has the meaning set forth in Section 3.09(a)(viii).

  • Government Contract means any Contract between, on the one hand, the Company or any of the Subsidiaries and, on the other hand: (i) the United States government or any other Governmental Authority, (ii) any prime contractor to the United States government or any other Governmental Authority or (iii) any subcontractor with respect to any Contract described in clauses (i) or (ii).

  • Government Bid means any quotation, bid or proposal by the Company or any of its Subsidiaries that, if accepted or awarded, would result in a Government Contract.

  • Government Subcontract means each contract between the Issuer or any of its Subsidiaries and any prime contractor or upper-tier subcontractor relating to a contract between such Person and any governmental entity, and each Bid with respect to Government Subcontracts.

  • Government List means any of (i) the two lists maintained by the United States Department of Commerce (Denied Persons and Entities), (ii) the list maintained by the United States Department of Treasury (Specially Designated Nationals and Blocked Persons), and (iii) the two lists maintained by the United States Department of State (Terrorist Organizations and Debarred Parties).

  • Government Lists means, collectively, (i) the Specially Designated Nationals and Blocked Persons Lists maintained by OFAC, (ii) any other list of terrorists, terrorist organizations or narcotics traffickers maintained pursuant to any of the Rules and Regulations of OFAC, and (iii) any similar lists maintained by the United States Department of State, the United States Department of Commerce or any other governmental authority or pursuant to any Executive Order.

  • Government Programs means (i) the Medicare and Medicaid Programs, (ii) the United States Department of Defense Civilian Health Program for Uniformed Services and (iii) other similar foreign or domestic federal, state or local reimbursement or governmental health care programs.

  • Government Body means any domestic or foreign federal, state, municipal or other governmental department, commission, board, bureau, agency or instrumentality, or other body exercising or entitled to exercise any administrative, executive, judicial, legislative, police, regulatory or taxing authority or power of any nature.

  • Governmental contract means a contract awarded by a governmental entity for general construction, an improvement, a service, or a public works project for a purchase of supplies, materials, or equipment. The term includes a contract to obtain a professional or consulting service subject to Government Code, Chapter 2254.

  • Government data means any information, document, media, or machine readable material regardless of physical form or characteristics, that is created or obtained by the Government in the course of official Government business.

  • Government Receivable means a Receivable as to which the Obligor is the United States federal government, any political subdivision thereof, or any agency of the foregoing.

  • Government Entities means collectively, the United States of America or any other nation, any state or other political subdivision thereof, or any entity exercising executive, legislative, judicial, regulatory or administrative functions of government, including any court, in each case having jurisdiction over the Company.

  • Government Accounts means Accounts on which any federal or state governmental unit or any intermediary for any federal or state governmental unit is the Account Debtor.

  • Government agreement has the meaning given in the Government Agreements Xxx 0000 (WA);

  • Government of Canada Yield on any date means the yield to maturity on such date (assuming semi-annual compounding) of a Canadian dollar denominated non-callable Government of Canada bond with a term to maturity of five years as quoted as of 10:00 a.m. (Toronto time) on such date and that appears on the Bloomberg Screen GCAN5YR <Index> Page on such date; provided that if such rate does not appear on the Bloomberg Screen GCAN5YR <Index> Page on such date, then the Government of Canada Yield shall mean the arithmetic average of the yields quoted to the Corporation by two registered Canadian investment dealers selected by the Corporation as being the annual yield to maturity on such date, compounded semi-annually, that a non-callable Government of Canada bond would carry if issued, in Canadian dollars, at 100% of its principal amount on such date with a term to maturity of five years.

  • Government costs, as used in this clause, means those agency costs that result directly from developing and implementing the VECP, such as any net increases in the cost of testing, operations, maintenance, and logistics support. The term does not include the normal administrative costs of processing the VECP or any increase in this contract’s cost or price resulting from negative instant contract savings.
