If Purchaser terminates this Agreement pursuant to its rights under this Section 5, and the Termination Notice is sent on or before the expiration of the Investigation Period, or solely with respect to the Governmental Incentives prior to the expiration of the Investigation Period Extension, then the full amount of the Deposit shall be immediately refunded to Purchaser by Escrow Agent.
Seller agrees that, during the term of this Agreement, Seller will reasonably cooperate with (and will not oppose), any applications that Purchaser, at its sole expense, desires to submit to any governmental authorities in connection with obtaining any such Governmental Incentives or information in furtherance of Purchaser’s intended use of the Property.
If Purchaser does not terminate this Agreement on or before the expiration of the Investigation Period, or solely with respect to the Governmental Incentives, prior to the expiration of the Investigation Period Extension, then the Deposit will be non-refundable to Purchaser except in the event of a default by Seller as provided in Section 15 hereof.
For the avoidance of doubt, none of Micron, the Company or any of their Subsidiaries shall be required in connection with the foregoing to maintain or increase any particular type or quantum of personnel, activities, assets, or investment or level of operations in any jurisdiction, regardless of whether the terms of the Governmental Incentives prior to the date of this Agreement would have so required.
If any Governmental Incentive is obtained for the Project, Tenant shall have the right to allocate such Governmental Incentives to the costs of the TI Work and/or the Base Project Work.
Any tax credits or other municipal, county, or state incentives received as part of the Governmental Incentives (as defined in Section 11.24) or similar incentives shall inure to the benefit of the Tenant.
Developer shall apply for, oversee and administer all Governmental Incentives, and shall enter into and comply with all grant agreements, sub-grant agreements, development agreements and other governing documentation required with respect thereto.
The Owners shall make (or cause to be made) all available Governmental Incentives, up to a maximum of $[***], available (if, as and when received) to fund the costs of the development and construction of the Public Improvements, and for no other purpose.
If the ----------------------- Governmental Incentives are not received by February 10, 2000, Tenant may by written notice to Landlord terminate this Lease as provided in Section 59.C., whereupon all obligations and liabilities of both Landlord and Tenant shall be extinguished, except only that Tenant agrees under such circumstances to reimburse Landlord promptly for Landlord's "Commensurate Damages" as defined below.
The parties agree that the Confidentiality Agreement shall, up to the Closing, continue in full force and effect save and except that the Confidentiality Agreement shall be deemed to be modified, amended or supplemented as may be necessary to allow for Purchaser to disclose such Proprietary Information (as defined in the Confidentiality Agreement) as may be required for Purchaser to apply for the Governmental Incentives Programs.
