All right, title and interest of APS in, to and under all agreements, licenses, permits, consents, authorizations, certificates and other rights of every kind and character relating exclusively to the Facility of any regulatory, administrative or other governmental agency or body issued to or held by APS necessary or incidental to the operations of the Facility as of the Closing Date, to the extent the same are transferable (all such items, collectively the "Governmental Licenses and Permits").
