Notwithstanding the foregoing, Parent shall be solely responsible for and pay all filing fees incurred by any party in connection with obtaining Governmental Permits in connection with the Transactions.
Schedule 3.6 sets forth a list, as of the date hereof, of all other material Permits that are primarily related to or used in the operation or conduct of the Target Business, other than the Transferred Governmental Permits, each of which is valid and in full force and effect.
