Prior to the completion of the New Funding Arrangements, the Vendor and the Vendor’s Guarantor will procure that neither Grace Fabric nor any of its Affiliates will demand repayment of the Inter-Company Funding or any part thereof other than as contemplated by the New Funding Arrangements, earn or demand interest on the Inter-Company Funding, or exercise any creditor’s rights or other remedies with respect to the Inter-Company Funding.
The obligations of Grace Parent under this Section 7.1 shall not be affected by (i) the failure of AGY to assert any claim or demand or to enforce any right or remedy against Grace or Grace Fabric under the provisions of this Agreement or any Operative Agreement or otherwise; or (ii) any rescission, waiver, amendment, or modification of any of the terms or provisions of this Agreement, any Operative Agreement, or any other agreement or instrument.
Grace Parent hereby unconditionally and irrevocably guarantees, as a primary obligor and not merely as surety, the due and punctual payment and performance of all obligations of Grace and Grace Fabric under this Agreement and the Operative Agreements (the “Grace Obligations”).
