Grant awards. As approved by the Compensation Committee of the Enron Corp. Board of Directors (the "Committee"), Employee shall receive the grants described below. These grants are made with the expectation that this Agreement will be executed. The grants are made pursuant to the Enron Corp. 1991 Stock Plan (the "Stock Plan") as determined by the Committee, and shall be in the form of written agreements approved by the Committee. The terms of the grant agreements shall govern these grants. The exercise price for the grants is determined according to the provisions of the Stock Plan, on the Date of Grant established by the Committee ("Date of Grant").
