Grant Date Price means the fair market value per share of Common Stock on the date the Common Stock or options, as applicable, are granted to Executive, as determined in accordance with the equity compensation plan of Employer under which such grant is made. Employer shall have no obligation to pay any amount to Executive under this Section 2.3 with respect to any fiscal year if Executive's employment terminates on or prior to the last day of such fiscal year; provided that if such termination is by Employer without Cause (as defined in Section 4.1 below), as soon as practicable following such termination, Employer shall transfer to Executive a number of shares of Common Stock equal to the applicable Share Number, which shall not be subject to transfer restrictions or forfeiture.

  • Award Value means the value, in dollars, of an award made to a Participant and as stated in the applicable Award Agreement, which is provided under the Plan in the form of PSUs or RSUs, as the case may be.

  • Base Year Value means the assessed value of eligible property January 1 preceding the execution of the agreement plus the agreed upon value of eligible property improvements made after January 1 but before the execution of the agreement.

  • Warrant Exercise Price means $0.01 per share.

  • SAR Price means the exercise price or conversion price of each share of Common Stock covered by a SAR, determined on the Date of Grant of the SAR.

  • Early Preference Share Valuation Date means the date specified as such in the relevant Early Preference Share Redemption Notice which shall fall not less than one day and not more than 180 days following the day such Early Preference Share Redemption Notice is given.
