Gross Bookings definition

Gross Bookings means the total amount paid by our customers for travel products and services booked through or with us (including the part that is passed on to, or transacted by, the travel supplier), including taxes, service fees and other charges and excluding VAT. Gross Bookings include the gross value of transactions booked under both agency and principal models as well as transactions made under white label arrangements and transactions where we act as a “pure” intermediary whereby we serve as a click-through and pass the reservations made by the customer to the relevant travel supplier.
Gross Bookings means the amount of payments received by the Surviving Corporation from the Surviving Corporation’s customers and generated by the Surviving Corporation’s business, without reduction for payments to platforms (e.g., Facebook, Google/Android Store or Apple App Store) or developer royalties; provided that upon the Surviving Corporation’s or any of its Affiliates’ acquisition or disposition of any business unit or division or any material assets outside the ordinary course of business (whether directly or indirectly, by merger, consolidation, exchange or sale) on or after the date hereof there shall be an adjustment: (i) in the case of an acquisition, to exclude from the calculation of Gross Bookings those gross bookings resulting exclusively from the acquired assets; and (ii) in the case of a disposition, a reduction of the $1,000,000,000 target in the definition of Performance Measure equal to a reasonable projection of the Gross Bookings lost by the Surviving Corporation as a result of the disposition.
Gross Bookings means for the purposes of calculating the Revenue Target, the sum of: (i) the aggregate value of all realized revenue for the twelve month period prior to the Target Date, plus (ii) all written orders for products and services received by Hashoff on or prior to the relevant Target Date to be realized in future periods, as evidenced by a signed purchaser order, statement of work, license or other binding commitment.
