Group Issuers definition

Group Issuers means the Issuer and the Other Entities. “Group Issuer” shall mean any or each of them as the subject or context may permit or require.

  • It is clarified that if any one Group Issuer chooses to exercise its right to prepay, all the other Group Issuers shall be bound to prepay their respective Group Issuer Debentures and Group Issuer Amounts Due.

  • In case of the Calculation Period ending on March 31, such testing shall be done no later than 60 (sixty) days from the completion of the relevant Calculation Period, based on the annual audited financial statements of the Group Issuers in respect of the Calculation Period.

  • Nothing in this Section shall affect the obligation of the Euronet Group (Issuers of the Certificates) to make cash payments.

  • EBITDA means all income minus interest income from loans/debt to Obligors and/or their Affiliates minus all operating expenses incurred (excluding interest and depreciation) Senior Debt shall mean the total financial indebtedness of the Group Issuer which is first ranking including all senior term loans and working capital borrowings of all the Group Issuers, including the Group Issuer Debentures.

Related to Group Issuers

  • L/C Issuers means (i) Bank of America, (ii) any other Lender in its capacity as issuer of Letters of Credit hereunder who has been selected by GFI and who has agreed to be an L/C Issuer hereunder in accordance with the terms hereof and (iii) any successor issuer of Letters of Credit hereunder appointed in accordance with the terms hereof, and “L/C Issuer” means any one of them.

  • Co-Issuers The Issuer and the Co-Issuer.

  • L/C Issuer means Bank of America in its capacity as issuer of Letters of Credit hereunder, or any successor issuer of Letters of Credit hereunder.

  • Class B Liquidity Provider has the meaning set forth in the Intercreditor Agreement.

  • Second Lien Notes Trustee “Second Lien Noteholder”, “High Yield Agent”, “HY Borrower”, “High Yield Creditor”, “High Yield Lender”, “Unsecured Agent”, “Unsecured Borrower”, “Unsecured Creditor”, “Unsecured Lender”, “Security Agent”, “Security Grantor”, “Senior Agent”, “Senior Arranger”, “Senior Borrower”, “Senior Creditor”, “Senior Guarantor”, “Senior Lender”, “Senior Secured Notes Guarantor”, “Senior Secured Notes Issuer”, “Senior Secured Notes Trustee”, “Senior Secured Noteholder”, “Subordinated Creditor”, “Permitted Affiliate Parent” or the “Company” shall be construed to be a reference to it in its capacity as such and not in any other capacity;

  • Credit Facility Provider means the issuer of or obligor under a Credit Facility.

  • Group I Senior Certificates As specified in the Preliminary Statement.

  • Group I means Series 1997-1 and each other Series specified in the related Supplement to be included in Group I.

  • Group 3 Senior Certificates As specified in the Preliminary Statement.

  • Group II Senior Certificates As specified in the Preliminary Statement.

  • Co-Issuer has the meaning assigned to such term in the preamble hereto.

  • Second Lien Noteholders means the holders of Second Lien Notes.

  • First Lien Notes means the 8.000% first lien secured notes due April 1, 2027, issued by Frontier pursuant to the First Lien Notes Indenture.

  • Senior Secured Notes Trustee means U.S. Bank Trust Company, National Association, as successor in interest to U.S. Bank National Association, as trustee under the Senior Secured Notes Indenture.
