H-D Business definition
H-D Business means all of the businesses and operations conducted by H-D and H-D Affiliates, excluding the LiveWire Business, at any time, whether prior to or after the Business Combination Date.

If no such express designation exists, authorized representatives of LiveWire and HD will determine in good faith by mutual agreement whether the Liability relates primarily to either the LiveWire Business, in which case it will be deemed a Liability of LiveWire or the HD Business, in which case it will be deemed a Liability of HD.
In consideration, therefor, Recipient agrees that it shall not, directly or indirectly, on its own behalf or on behalf of any other third party, circumvent, frustrate or hinder any actual, proposed or potential HD Business in any manner whatsoever and shall exclusively work with and through HD with respect to any such identified business plan or opportunity to the Property.
