Half-Yearly Financial Statements means the financial statements for a financial half year to 30 June of the relevant year of a Group, the Borrowers, each of the Guarantors and each of the Counter Guarantors delivered pursuant to clause 18.1.2.

Half-Yearly Financial Statements means, in case of the periods commencing on (A) April 1 of a Financial Year and ending on September 30 of such Financial Year and (B) October 1 of a Financial Year and ending on March 31 of such Financial Year, the financial statements of the Company for such 6 (six) month period subjected to limited review by the statutory auditors of the Company; provided that the Half Yearly Financial Statements in respect of the periods set out in (A) and (B) above (as applicable), shall always include the profit and loss account and statements of income, as of the end of the relevant period, together with the limited review report, notes thereto and relevant disclosures prescribed under Applicable Law.
