HINDL has full limited liability company power and authority to execute, deliver and perform each Transaction Document to which it is a party.
The Conflicts Committee has received the opinion of Intrepid Partners, LLC to the effect that, as of the date of such opinion, and based upon and subject to the assumptions, qualifications, limitations and other matters set forth therein, the total Cash Consideration to be paid by HESM OpCo to HINDL at the Closing is fair, from a financial point of view, to ▇▇▇▇ Midstream.

To the knowledge of HINDL, the projections and budgets provided in writing to the Conflicts Committee (including those provided to any financial advisor to the Conflicts Committee) as part of the Conflicts Committee’s review of the Transaction Documents and the transactions contemplated thereby have a reasonable basis and are materially consistent with the General Partner’s current expectations.
The execution, delivery and performance by HINDL of the Transaction Documents to which it is a party and the consummation by HINDL of the transactions contemplated hereby and thereby have been duly authorized by all necessary limited liability company action.
HINDL shall have received the closing deliverables as set forth in Section 2.3.
HINDL shall have performed and complied with, in all material respects, all covenants required by this Agreement to be performed or complied with by HINDL prior to Closing.
Prior to the earlier of the Closing and the termination of this Agreement, the HESM Board shall not, and HINDL shall not cause the HESM Board to, without the consent of a majority of the then-existing members of the Conflicts Committee, eliminate the Conflicts Committee, revoke or diminish the authority of the Conflicts Committee or remove or cause the removal of any director of the HESM Board that is a member of the Conflicts Committee, either as a director or as a member of such committee.
