Holdings RSUs means any restricted stock units of Holdings originally granted under the Holdings Equity Plans.

Holdings RSUs means each restricted stock unit award (A) for Holdings Common Stock which resulted from the conversion, as of the Effective Time, of a restricted stock unit award for shares of CTCT Common Stock held by the Executive as of immediately prior to the Effective Time, in accordance with the terms and conditions of the Merger Agreement and (B) with respect to which the shares of Holdings Common Stock subject to the restricted stock unit award have not been sold, other than to satisfy tax withholding obligations upon settlement, as of the Valuation Date.

Examples of Holdings RSUs in a sentence

  • The Holdings Plan shall contain substantially the same terms, including the number of Holdings Options and Holdings RSUs available for issuance, as those provided under the Company’s 2010 Equity Incentive Plan currently in effect.

  • Holdings Options and Holdings RSUs shall be governed by an equity incentive plan of Holdings to be adopted as soon as reasonably practicable following the Closing Date (the “Holdings Plan”).

  • Notwithstanding the foregoing, except as specifically amended by this Agreement, the Severance Agreement, the CTCT Grant Agreements and any grant agreements related to the Holdings Stock Options and the Holdings RSUs shall remain in full force and effect and enforceable by the parties in accordance with their terms.

  • From the Capitalization Date to the date hereof, neither the Company nor Holdings has issued or granted any Company Securities other than pursuant to the exercise or settlement of Company RSUs, Company PSUs, Company Options, Holdings RSUs or Holdings Incentive Units granted prior to the date hereof.

  • The Holdings RSUs issued in accordance with this Section 4.3(c) shall be governed by a Holdings Plan and one or more new agreements governing such Holdings RSUs shall be entered into between each holder and Holdings.

  • From the Capitalization Date to December 11, 2020, neither the Company nor Holdings has issued or granted any Company Securities other than pursuant to the exercise or settlement of Company RSUs, Company PSUs, Company Options, Holdings RSUs or Holdings Incentive Units granted prior to December 11, 2020.

Each RSU represents a right to receive the value of one Share (or a percentage of such value) in cash, Shares or a combination thereof. Awards of RSUs may include the right to receive dividend equivalents.

  • Deferred Shares means an award made pursuant to Section 7 of this Plan of the right to receive Common Shares at the end of a specified Deferral Period.

  • Phantom Shares means an Award of the right to receive Shares issued at the end of a Restricted Period which is granted pursuant to Section 6(e) of the Plan.

  • Restricted Units has the meaning set forth in the recitals to this Award Agreement.

  • Company RSU Award means an award of restricted stock units relating to shares of Company Common Stock granted under a Company Equity Incentive Plan (including any dividend equivalent units credited thereon).

  • PSUs means the outstanding performance share units governed by the performance share unit plan of the Company dated December 16, 2013, as amended from time to time;

  • DSUs means the outstanding deferred share units issued under the DSU Plan.

  • Performance Shares means Shares or an Award denominated in Shares which may be earned in whole or in part upon attainment of performance criteria established by the Administrator.

  • Restricted Stock means Shares issued pursuant to a Restricted Stock award under Section 7 of the Plan, or issued pursuant to the early exercise of an Option.

  • Unrestricted Stock Award means an Award of shares of Stock free of any restrictions.

  • Restricted Share Unit Award means a right to receive Ordinary Shares which is granted pursuant to the terms and conditions of Section 6(b).

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Performance Share Units means Performance Share Units granted to an Eligible Individual under Section 9.1(b).

  • Parent Equity Awards means Parent Options, Parent DSU Awards and Parent PSU Awards.

  • RSU Award or “RSU” means an Award of restricted stock units representing the right to receive an issuance of shares of Common Stock which is granted pursuant to the terms and conditions of Section 5(a).

  • Restricted Share Award means an award of Restricted Shares.

  • Unrestricted Shares means a grant of Shares made on an unrestricted basis pursuant to Section 13 of the Plan.

  • Restricted Stock Unit Award means a right to receive shares of Common Stock which is granted pursuant to the terms and conditions of Section 6(b).

  • Company PSUs means the outstanding performance share units of the Company issued pursuant to: (i) the Company Legacy Equity Incentive Plan; and (ii) the Company PRSU Plan.
