HONORING CARDS. Merchant shall honor without discrimination any valid Card when properly presented as payment by a Cardholder in connection with the provisions of goods or services or both by Merchant to Cardholder. Merchant will not establish minimum or maximum sale amounts as a condition for honoring cards or impose any surcharge on Card transactions. Discounts for payments in cash are permitted. 2. PERMITTED TRANSACTIONS: "Permitted Transactions" shall be deemed to mean those Card transactions by Merchant only for the type of business activity described on the Application and only where all products and services transacted with a Cardholder and processed under this Agreement shall have been provided in full by Merchant at the time of the transaction (except upon prior written approval of Bank). Merchant is prohibited from submitting to Bank any Sales Drafts or Credit Vouchers for any transaction that are not Permitted Transactions, including but not limited to, cash advances in any amount to a Cardholder, a Card transaction for which a principal of Merchant is also the Cardholder, or any transaction which Merchant knew or should have known to be fraudulent or not authorized by the Cardholder. 3.

  • The rebuttal does not have to be conclusively established but such evidence must be adduced before the court in support of the defence that the court must either believe the defence to exist or consider its existence to be reasonably probable, the standard of reasonability being that of the prudent man.

  • Private label credit card means any charge card, credit card, or other instrument serving a similar purpose that carries, refers to, or is branded with the name or logo of a vendor and that can only be used for purchases from the vendor.

  • Operating Margin Customer means a Control Area purchasing Operating Margin pursuant to an agreement between such other Control Area and the LLC.

  • Purchasing Card or “P-Card” means The State of West Virginia’s Purchasing Card program, administered under contract by a banking institution, processes payment for goods and services through state designated credit cards.

  • Base Working Capital means $25,000,000.

  • CREFC® Payment Posting Instructions Template A report substantially in the form of, and containing the information called for in, the downloadable form of the “Payment Posting Instructions Template” available as of the Closing Date on the CREFC® Website, or such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CREFC® for commercial mortgage securities transactions generally.

  • Cards means either a Visa, MasterCard, Discover or American Express credit card, debit card (or other similar card that requires a PIN for identification purposes), or pre-paid, stored-value or gift card.

  • CREFC® Modification Posting Instructions Template A report substantially in the form of, and containing the information called for in, the downloadable form of the “Modification Posting Instructions Template” available as of the Closing Date on the CREFC® Website, or such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CREFC® for commercial mortgage securities transactions generally.

  • CREFC® Assumption Modification Posting Instructions Template A report substantially in the form of, and containing the information called for in, the downloadable form of the “Assumption Modification Posting Instructions Template” available as of the Closing Date on the CREFC® Website, or such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CREFC® for commercial mortgage securities transactions generally.

  • Final Net Working Capital shall have the meaning set forth in Section 2.3(b)(ii).

  • Actual Working Capital has the meaning set forth in Section 2.7(a).

  • Credit Voucher means a document executed by a Merchant evidencing any refund or price adjustment relating to Cards to be credited to a Cardholder account.

  • Credit Card Advance Rate means 90%.

  • CMSA Loan Level Reserve/LOC Report means the monthly report substantially in the form of, and containing the information called for in, the downloadable form of the "Loan Level Reserve/LOC Report" available as of the Closing Date on the CMSA Website, or such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CMSA for commercial mortgage securities transactions generally.

  • Net Working Capital means current assets minus current liabilities.

  • Consolidated Working Capital means, as at any date of determination, the excess of Consolidated Current Assets over Consolidated Current Liabilities.

  • Direct Debit means a payment service for debiting a payer’s payment account, where a payment transaction is initiated by the payee on the basis of the payer’s consent given to the payee, to the payee’s payment service provider or to the payer’s own payment service provider;

  • Debit means a charge or an amount of money somebody must pay. If we debit money to you or debit money to your account, that money is then added to the unpaid balance and the unpaid balance becomes larger. In this case “charge” and “debit” have similar meanings.

  • CREFC® Loan Level Reserve/LOC Report The monthly report in the “CREFC® Loan Level Reserve/LOC Report” format substantially in the form of and containing the information called for therein for the Mortgage Loans, or such other form for the presentation of such information as may be approved from time to time by the CREFC® for commercial mortgage securities transactions generally.
