It is further understood and agreed by the parties that in the event that the Purchaser intends to rent out the Property before or after the Closing Date (if before, only with the consent of the Vendor, which consent may be unreasonably or arbitrarily withheld or delayed), the Purchaser shall not be entitled to the Rebate, but may nevertheless be entitled to pursue, on his own after the Closing Date, any applicable federal and provincial new rental housing rebates pursuant to the HST Legislation.
The Parties shall take all actions as may be necessary or advisable in order to complete and file a valid joint election as provided in subsection 167(1) of the HST Legislation and the Canadian Buyer shall file the joint election on or before the date on which the Canadian Buyer must submit its HST return for the reporting period in which the Closing occurs.
At the Closing Date, the Canadian Buyer, or its designated assignee(s) acquiring the Transferred Assets, will be registered for the purposes of the HST Legislation and will provide its registration number(s) to the Sellers.
The Purchaser hereby irrevocably assigns to, and in favour of the Vendor, any and all rights he/she may have on Closing or thereafter to any rebates, refunds or credits pursuant to the HST Legislation, including without limiting the generality of the foregoing, the Rebate.
The Purchaser and Vendor hereby acknowledge and agree that subject to compliance with and accuracy of the Purchaser’s representations, warranties, acknowledgements, covenants and agreements herein the Purchase Price includes the Harmonized Sales Tax (“HST”) eligible pursuant to Part IX of the Excise Tax Act (Canada) (the “HST Legislation”), net of the new housing rebate permitted under the HST Legislation, if any (the “Rebate”).
In consideration of the Purchase Price being inclusive of the Net HST, the Purchaser hereby irrevocably assigns to and in favour of the Vendor any and all rights the Purchaser may have to any refunds, credits, rebates or the like (the “Rebates”) available with respect to the within transaction of purchase and sale pursuant to the HST Legislation.
The Purchaser covenants, warrants, and represents that the Purchaser is an individual and that the Purchaser or one of his or her relations (as defined in the HST Legislation) shall personally occupy the Property as his, her or their primary place of residence (as defined in the HST Legislation) within fourteen (14) days of the Closing Date or such other period of time as shall then be required in order to entitle the Purchaser to the Rebate.
The Corporation is registered for purposes of the Tax imposed under HST Legislation its registration number is 85828 4979 RC0005.
The Purchaser further covenants and agrees that, forthwith after Closing, he/she shall personally occupy the Real Property or cause one or more of his/her relations (as defined in the HST Legislation) to occupy the Real Property as his/her primary place of residence for such period of time as required by Canada Customs and Revenue Agency pursuant to its administrative guidelines or under the HST Legislation in order to entitle the Purchaser to the Rebate.
The Purchaser hereby covenants and agrees that he/she is acquiring the Real Property for use as his/her primary place of residence (as defined in the HST Legislation).
