Confidentiality Undertaking means a confidentiality undertaking substantially in a recommended form of the LMA or in any other form agreed between the Borrower and the Agent.
railway undertaking means any public or private undertaking licensed according to this Directive, the principal business of which is to provide services for the transport of goods and/or passengers by rail with a requirement that the undertaking ensure traction; this also includes undertakings which provide traction only;
L/C Undertaking has the meaning set forth in Section 2.12(a).
Disclosure Undertaking means the Continuing Disclosure Undertaking, dated as of the Dated Date, relating to certain obligations contained in the SEC Rule.
Undertaking means any natural or legal person, whether profit-making or not, or any official body whether having its own personality or not;
Letter of Undertaking means the letter of undertaking from, amongst others, the Issuer and its Managing Directors to the Initial Purchaser, Investment Manager and the Trustee.
Affirmation means a solemn statement of truth, made under penalty of perjury before a notary public.
Affidavit and Undertaking means the affidavit and undertaking provided by the Bidder substantially in form and manner as annexed in Annexure I hereto;
electricity undertaking means any person engaged in the generation,transmission, distribution or supply of electricity including any holder of a licence or authorisation or a person who has been granted a permit under Section 37 of the Principal Act and any person transferring electricity to or from Ireland across an interconnector or who has made an application for use of an interconnector which has not been refused;
parent undertaking means a parent undertaking as defined in point (15)(a) of Article 4(1) of Regulation (EU) No 575/2013;
Group Undertaking means the Company or another undertaking in the group;
Letter of Understanding Teachers from Former Xxxxxxxxx and Moving Expenses when they Resign
Continuing Disclosure Undertaking means the Continuing Disclosure Undertaking of the Issuer, in substantially the form attached hereto as Exhibit 1, dated the Closing Date, for the purpose of providing continuing disclosure information under Rule 15c2-12 adopted by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as may be amended from time to time.
Confidentiality Agreement has the meaning set forth in Section 6.3.
Acceptable Confidentiality Agreement means a confidentiality agreement that contains provisions that are no less favorable in the aggregate to the Company than those contained in the Confidentiality Agreements; provided that such agreement and any related agreements (i) need not contain “standstill” provisions and (ii) shall not include any provision calling for any exclusive right to negotiate with such party or having the effect of prohibiting the Company from satisfying its obligations under this Agreement.
arbitration agreement means an agreement by the parties to submit to arbitration all or certain disputes which have arisen or which may arise between them in respect of a defined legal relationship, whether contractual or not;
Undertaking Letter The letter in substantially the form set forth in Exhibit C of the Trust Agreement.
Confidentiality Agreements means the confidentiality agreements between the Company and each Sponsor (or an affiliate thereof), as amended and restated from time to time.
undertaking in difficulty means an undertaking in respect of which at least one of the following circumstances occurs:
Mediation agreement means a written agreement between the parties to a mediation meeting.
Subject Matter Expert means a person who has working or expert knowledge about a particular topic or field.
Confidentiality Period means, (i) with respect to Confidential Information that is not Highly Confidential Information, five (5) years, and (ii) with respect to Highly Confidential Information, in perpetuity, after either (A) the Separation Date with respect to Confidential Information of the Disclosing Party that is known to or in the possession of the Receiving Party as of the Separation Date or (B) the date of disclosure with respect to Confidential Information that is disclosed by the Disclosing Party to the Receiving Party after the Separation Date.
Other Contractor means any party or parties having a direct Contract with the Employer for Work outside the scope of this Contract and shall include any Sub-Contractor of this “Other Contractor”
Conciliation agreement means a written agreement setting forth the resolution of the issues in conciliation.
Stipulation means this Stipulation and Agreement of Settlement.
Subject Matter Experts has the meaning set forth in Section II.A.2.
