Incentive Securities definition

Incentive Securities means, collectively, (a) the Options, (b) the RSUs, (c) the PSUs.
Incentive Securities means the Options, DSUs, RSUs, PSUs and SARs issuable to any Participant under this Plan or, in the case of Options, any pre-existing stock option plan of the Company;
Incentive Securities means Company Securities purchased or acquired by, or issued to, a Management Shareholder or its Permitted Transferees pursuant to the exercise of options (including any options for common shares) or other rights to acquire Common Shares, restricted stock or any other equity or equity-linked security issued by the Company, pursuant to the Incentive Plan;

Examples of Incentive Securities in a sentence

  • Unless otherwise required by law, no Group company is responsible for any Tax which may become payable by a Participant as a consequence of or in connection with the grant of any Incentive Securities, the allocation of any Shares or any Dealing with any Incentive Securities or any Shares.

  • Where some or all of a Participant’s Incentive Securities Vest pursuant to rule 9.1, the Board will, as soon as reasonably practicable, give written notice to each Participant of the number of Incentive Securities that have Vested.

  • Notwithstanding any other provisions of the EIP, the Board may at any time waive in whole or in part any terms or conditions (including any Vesting Condition) in relation to any Incentive Securities or Shares granted to a Participant.

  • In the event of any dispute, disagreement or uncertainty as to the interpretation of the EIP, or as to any question or right arising from or related to the EIP or to any Incentive Securities or Shares granted under it, the decision of the Board is final and binding.

  • The Incentive Securities are intended to constitute, and shall be treated for all purposes, as “profits interests” within the meaning of Revenue Procedures 93-27 and 2001-43 and any other official guidance promulgated thereafter.


More Definitions of Incentive Securities

Incentive Securities means any Common Shares and/or Equity Securities issued or issuable (a) pursuant to any Share Incentive Plan; or (b) on the exercise of any Right.

Incentive Securities means (i) stock options or other rights to purchase Common Stock issued or granted to directors, officers, employees and agents of the Company or its Subsidiaries pursuant to any Incentive Securities Plan, (ii) shares of Common Stock issued upon exercise of such stock options or other rights pursuant to an Incentive Securities Plan, (iii) all other Securities received on account of ownership of such Securities issued pursuant to an Incentive Securities Plan, including any and all Securities issued in connection with any merger, consolidation, recapitalization, reclassification, subdivision, conversion or similar transaction in respect thereof, and (iv) any other Securities issued from time to time to any director, officer, employee or agent of the Company or its subsidiaries and specifically designated by the Board of Directors at the time of issuance as “Incentive Securities” for purposes of this Agreement. Securities acquired by Management Investors pursuant to the Subscription Agreement, and Securities acquired otherwise by Management Investors which are not Incentive Securities at the time of acquisition by Management Investor, shall not be deemed to be “Incentive Securities”.
Incentive Securities means New Common Stock, or options, warrants, or similar equity securities to be distributed pursuant to the terms of the Management Incentive Plan.
