Incipient Termination Event definition

Incipient Termination Event means any event that, with the passage of time or notice or both, would, unless cured or waived, become a Termination Event.

Incipient Termination Event means any event or condition which constitutes a Termination Event or which upon notice, lapse of time or both would, unless cured or waived, become a Termination Event.

• The Administrative Agent shall not be deemed to have knowledge or notice of the occurrence of any Incipient Termination Event or of any Termination Event unless the Administrative Agent has received notice from any Managing Agent, Purchaser or the Seller stating that an Incipient Termination Event or Termination Event has occurred hereunder and describing such Incipient Termination Event or Termination Event.

Incipient Termination Event means an event that, with the giving of notice or lapse of time, or both, would constitute a Termination Event.
