Increased Offer definition

Increased Offer has the meaning given in Clause 7.5.1; "Increased Offer Deadline" has the meaning given in Clause 7.5.2; "Increased Offer Price" has the meaning given in Clause 7.5.2;
Increased Offer means any increased or revised Offer which, in the opinion of Panmure ▇▇▇▇▇▇ & Co. (acting reasonably), is more favourable to shareholders of Universal as a whole than a Competing Offer;
Increased Offer has the meaning set forth in Section 10.3(d).

Examples of Increased Offer in a sentence

  • If the Policy Seller accepts the Offer to Seller or Increased Offer to Seller prior to the end of the Sale Period or the Extended Sale Period, as applicable, LLS and the Trustee shall seek to cause the closing of the sale and purchase of the policy (a “Contracted Policy”) at the agreed upon price (the “Policy Purchase Price”) as promptly as practicable.

  • The terms of this Undertaking are conditional on the Increased Offer Announcement being released not later than 11:59 p.m. (London time) on the date that is one business day from the date of this Undertaking (or such later time and/or date as Countrywide and Connells may agree).

  • The Offeror shall accept, against payment of the Increased Offer price per Ordinary Share and the Increased Offer price per ADS, and notwithstanding the other terms and conditions of the Offer, each Share that is tendered within such post-acceptance period.


More Definitions of Increased Offer

Increased Offer means the offer as described in this Announcement and to be made by Fnac by way of a takeover offer as defined in Chapter 3 of Part 28 of the Act to acquire the entire issued and to be issued share capital of Darty on the terms and subject to the conditions to be set out in the Offer Document and the accompanying Increased Offer Form of Acceptance (and, where the context admits, any subsequent revision, variation, extension or renewal of such offer, including any election or alternative available in connection with it);
Increased Offer means the increased cash proposal by which MTW County will acquire the entire issued share capital of Enodis, as described in this announcement;
Increased Offer means the Original Offer, as revised on the date hereof, made by Royalty Pharma on the terms and subject to the conditions set out in this document and the Revised Acceptance Documents (including, where the context so requires, any subsequent revision, variation, extension or renewal of such offer);
Increased Offer means the offer by Fnac to acquire the entire issued and to be issued share capital of Darty, as set out in the Increased Offer Announcement;
