If Contractor fails to provide one of the foregoing remedies within forty-five (45) days of notice of the claim, Contractor will refund to Client all sums paid by Client for the infringing Indemnified Items, prorated over three (3) years from the date of initial delivery of the relevant Indemnified Items.
