INDEPENDENCE OF THE ADVISOR. For all purposes herein, the Advisor shall be deemed to be an independent contractor and, unless otherwise expressly provided or authorized, shall have no authority to act for or represent the Partnership in any way and shall not be deemed an agent, promoter or sponsor of the Partnership, CMF, or any other trading advisor. The Advisor shall not be responsible to the Partnership, CMF, any trading advisor or any limited partners for any acts or omissions of any other trading advisor to the Partnership.
INDEPENDENCE OF THE ADVISOR. For all purposes herein, the Advisor shall be deemed to be an independent contractor and, unless otherwise expressly provided or authorized, shall have no authority to act for or represent the Funds in any way and shall not be deemed an agent, promoter or sponsor of the Funds, CMF, or any other trading advisor. The Advisor shall not be responsible to the Funds, CMF, any trading advisor or any limited partner for any acts or omissions of any other trading advisor to any Fund. Notwithstanding the foregoing, CMF shall have no responsibility for the business operations of any feeder fund for which the Advisor or one of the Advisor’s affiliates acts as commodity pool operator or otherwise operates (each an “Advisor Feeder Fund”).

The Advisor shall not be responsible to the Partnership, CMF, any trading advisor or any limited partners for any acts or omissions of any other trading advisor to the Partnership. For the avoidance of doubt, other than its responsibility for directing the trading and investment activities of the Account pursuant to the terms of this Agreement, the Advisor is not responsible for and shall not participate in the operations, management and administration of the Partnership (including, but not limited to, any marketing or solicitation activities).

The Advisor shall not be responsible to the Partnership, CMF, any trading advisor or any partners for any acts or omissions of any other trading advisor to the Partnership.

The parties acknowledge that the Advisor has not, either alone or in conjunction with the General Partner, been an organizer or promoter of the Partnership. Nothing herein contained shall be deemed to require the Partnership to take any action contrary to its Agreement of Limited Partnership, its Certificate of Limited Partnership or any applicable statute, regulation or exchange rule.

The Advisor shall not be responsible to the Partnership, the General Partner or any limited partners for any acts or omissions of, or losses generated by, any other current or past trading advisor to the Partnership.

The Advisor shall for all purposes herein be deemed to be an independent contractor and shall, unless otherwise expressly provided or authorized, have no authority to act for or represent the Partnership in any way or otherwise be deemed an agent of the Partnership or the General Partner. Nothing contained herein shall create or constitute any of the Partnership and the General Partner on the one hand and the Advisor on the other hand as members of any partnership, joint venture, association, syndicate, unincorporated business or other separate entity. The Advisor shall not offer or sell or solicit any offers to purchase Partnership Interests. The parties acknowledge that the Advisor has not, either alone or in conjunction with the General Partner, been an organizer or promoter of the Partnership. Nothing herein contained shall be deemed to require the Partnership to take any action contrary to its Agreement of Limited Partnership, its Certificate of Limited Partnership or any applicable statute, regulation or exchange rule.
