The Initial Bond Issue and Maximum Issue Amount will be specified in the applicable Final Terms.If Maximum Issue Amount is applicable the Issuer may subsequently issue Additional Bonds on one or more occasions (each a “Tap Issue”) until the Nominal Amount of all Additional Bonds plus the Initial Bond Issue equals in aggregate the Maximum Issue Amount.
The Issuer intends to list the Bonds issued under the Initial Bond Issue within thirty (30) calendar days, and has undertaken to list the Bonds issued under the Initial Bond Issue within twelve (12) months, after the First Issue Date on the corporate bond list of Nasdaq Stockholm (or any other Regulated Market) in accordance with Clause 11.2 (Listing of the Bonds).
The proceeds from the Initial Bond Issue and any Subsequent Bond Issue shall be used to (i) make Project Investments, and (ii) finance Transaction Costs.
Initial Bond Issue is NOK 1,500,000,000, and Initial Nominal Amount of each Bond is NOK 1,000,000 each and among themselves pari passu ranking.
The proceeds from the Initial Bond Issue shall be used to (i) refinance the Existing Debt,(ii) finance the Share Repurchase and (iii) finance general corporate purposes of the Group, including capital expenditure and acquisitions.
