Initial Firm Order definition

Initial Firm Order shall have the meaning set forth in Section 2.2(a).
Initial Firm Order is defined in Section 6.1.2(a) hereof.

Examples of Initial Firm Order in a sentence

  • Buyer shall submit to Seller on the Effective Date a purchase order for the first month of the Initial Firm Order, and Buyer shall submit a second Purchase Order for the remainder of the period covered by Initial Firm Order on or before the fifteenth (15th) Business Day after the Effective Date.

  • The Initial Firm Order shall be confirmed by delivery by Buyer to Seller of a purchase order (each a “Purchase Order”, collectively, “Purchase Orders”).

  • For clarity, Takeda shall accept all Purchase Orders that correspond to the Initial Firm Order.

  • Each Purchase Order shall specify (i) the quantity of Drug Substance and (ii) the desired delivery date and location, on the basis of [***], in each case in accordance with the Initial Firm Order or such Firm Order (as applicable), no later than [***] before the desired delivery date of Drug Substance.

  • In addition to its submission of a Rolling Forecast, Myovant shall submit to Takeda, a purchase order for Drug Substance (a “Purchase Order”) in the quantity set forth in the Initial Firm Order and any subsequent Firm Order.

  • After the Initial Firm Order Period, the first [***] of each Rolling Forecast for Drug Substance submitted by Myovant (the Initial Firm Order Period and each such subsequent period, as applicable, a “Firm Order Period”) shall be, unless Takeda otherwise notifies Myovant not later than [***] Business Days after Takeda’s actual receipt thereof, binding upon Myovant and Takeda, and shall constitute a firm order (the Initial Firm Order and each such subsequent firm order, a “Firm Order”).

  • The cost of that part of the Initial Firm Order that consists of [***] is included in the Purchase Price (as defined in the Asset Purchase Agreement), and ABBI shall only be obligated to pay for the other Products included in the Initial Firm Order in accordance with Section 5 of this Agreement.

  • AZ and ABBI agree that, as part of the Initial Firm Order, AZ shall supply to ABBI, not less than a [***], based on the [***] and that, notwithstanding the preceding sentence, such amount of [***] will be delivered on the delivery date specified in the Initial Firm Order or as soon thereafter as is commercially reasonable.

  • In the event that IMED fails to deliver the Initial Firm Order to DEBIOTECH within the Initial Firm Order Period without any valid reason, Product Availability for such Product shall deem to have occurred six (6) months following the expiration of the Initial Firm Order Period.

  • The Initial Firm Order shall not specify a delivery date that is not [***] from the date of this Agreement.

Related to Initial Firm Order

  • Firm Order shall have the meaning set forth in Section 5.2.

  • Firm Order Confirmation or "FOC" means the notice CenturyLink provides to CLEC to confirm that CLEC's Local Service Order (LSR) has been received and has been successfully processed. The FOC confirms the schedule of dates committed to by CenturyLink for the Provisioning of the service requested.

  • Purchase Order Number means the Customer’s unique number relating to the supply of the Services;

  • Purchase Order means the form or format a Customer uses to make a purchase under the Contract (e.g., a formal written purchase order, electronic purchase order, procurement card, contract or other authorized means).

  • The Purchase Order means the order placed by the Purchaser on the Supplier signed by the Purchaser including all attachments and appendices thereto and all documents incorporated by reference therein. The purchase order shall be deemed as "Contract" appearing in the document.

  • IITK Purchase Order means the IITK’s official Purchase Order document;

  • Delivery Schedule means the schedule for the delivery of Services as set forth in attached Annex 3.

  • Change Order means a written order to the Contractor signed by the Contracting Officer, issued after execu- tion of the Contract, authorizing a change in the term or scope of the Contract.

  • Rolling Forecast has the meaning set forth in Section 4.2.

  • non-firm prices means all prices other than “firm” prices;

  • Finished Product means a cannabis product in its final form to be sold at a retail premises.

  • Product Schedule means the “Product Schedule” that forms part of the Contract.

  • Certificate of Completion means the certificate of completion given by the Engineer-in- charge pursuant to clause 40 of these conditions;

  • Work Order means an individually negotiated document that is executed by both Parties and which authorizes a Project, if any, in an indefinite quantity Contract.

  • Closing Press Release has the meaning set forth in Section 5.4(b).

  • Pre-Closing Statement has the meaning set forth in Section 2.4(a).
