Initial License Term definition

Initial License Term means the period commencing on the day the License is accessed or activated after delivery by Mindjet to the Account Owner of the access/activation code for the License or, if no access/activation code is provided, upon delivery by Mindjet to the Account Owner of the Licensed Software and continuing until expiration of the license term set forth in the applicable Ordering Document, subject to earlier termination as provided in this Agreement. If no license term is set forth in the applicable Ordering Document, the license is perpetual.

Initial License Term means the initial term of the Production Use license as specified in the initial Order or any subsequent Order (e.g., 1- Year or 3-Year), beginning on the License Start Date.

Examples of Initial License Term in a sentence

• During the Initial License Term or any License Renewal Term, ES&S may provide new releases, upgrades or maintenance patches to the ES&S Software, together with appropriate Documentation (“Updates”), on a schedule defined by ES&S.

• Upon expiration of the Initial License Term, the licenses shall automatically renew for an unlimited number of successive one-year periods (each a “License Renewal Term”) upon the payment by Customer of the annual software license and software maintenance and support fee as set forth on the front side of this Agreement.

• Rave reserves the right to increase the above-referenced “Annual License Fees” (not to exceed 10% annually) following the Initial License Term or any Renewal License Term, as the case may be.

• Any additional Subscription License Orders processed during the License Term will be added to Customer’s then current License Term and are subject to the Master Terms and Software Subscription License Supplement in effect at the commencement of the then current Initial License Term or Renewal License Term as the case may be.

• Upon expiration of the Initial License Term, the licenses shall automatically renew for an unlimited number of successive one-year periods (each a “License Renewal Term”) upon the payment by Customer of the annual software license and software maintenance and support fee as set forth on the reverse side.

• Upon expiration of the Initial License Period, and each anniversary thereafter, the Subscription License Order will automatically renew for an additional one-year period (each, a “Renewal License Term”) at the rates then in effect, unless Epicor and Customer negotiate a new multi-year arrangement or either party gives written notice of non-renewal at least 90 days prior to the end of the applicable Initial License Term or Renewal License Term as the case may be.

• If the Ordering Document provides for monthly or other periodic payments such that more than one payment is made for the fees due for the Initial License Term or Renewal License Term, such payments are installment payments and do not relieve the Owner from liability to pay for the full License Term or Renewal License Term, as the case may be.

More Definitions of Initial License Term

Initial License Term means the period of time identified as such on the Purchase Order. Unless otherwise set forth in the Purchase Order or agreed to by the Parties, the Initial License Term shall be one (1) year and shall commence upon the expiry of the Acceptance Period as defined herein or the Purchase Order.

Initial License Term means a period of three (3) years from the Commencement Date or such other period as may be specified in the Commercial Terms;
