In the event that any of the representations of Sellers as set forth in the Purchase Agreement (as hereinafter defined) are not true and correct at the time that TOG exercises the Option or at the time of Closing and prevent TOG from closing under the terms of the Purchase Agreement, Sellers shall immediately return the Initial Option Payment and the Additional Option Payment to TOG.
