Except for the Initial Press Releases, or to the extent required to comply with applicable law, regulation, rule or legal process or as otherwise permitted in accordance with this Section 7.3, neither Party nor such Party’s Affiliates will make any public announcements, press releases or other public disclosures concerning this Agreement or the terms or the subject matter hereof without the prior written consent of the other, which will not be unreasonably withheld.
MHC, on the one hand, and the Trails Parties, on the other hand, shall mutually agree to the text of both of the press releases announcing the signing of this Agreement to be issued, respectively, by MHC and the Company (the "INITIAL PRESS RELEASES"), and shall mutually agree upon the time and manner in which the Initial Press Releases shall be issued.
On or about the Effective Date, each of Sanofi and Novavax will issue separate press releases or other media statements announcing that this Agreement has been signed in substantially the forms attached hereto as Exhibit A (Initial Press Releases).
