  • The Initiating Securityholder shall provide written notice to the other Selling Securityholder setting forth the consideration to be paid by the purchaser for the securities and the material terms of the sale within ten (10) business days after such Initiating Securityholder exercises the Drag Along Rights pursuant to Section 7.1 ("Drag Along Notice").

  • Each Securityholder making a demand for registration under this Section 9.1 is referred to herein as an "Initiating Securityholder."   • Notwithstanding the foregoing, if the Initiating Securityholder shall be an Initiating Demand Stockholder that has delivered a written request for registration pursuant to Section 3(a), the Company shall provide written notice of the proposed filing of such Registration Statement to all other Demand Stockholders and the Warrant Stockholders then eligible to registration rights pursuant to Section 3 in accordance with Section 3(a), rather than this Section 4(a).

  • If the Responding Securityholder fails to deliver a Response Election to the Initiating Securityholder on or before the last day of the Response Period, the Responding Securityholder shall be deemed to have irrevocably elected to sell all, but not less than all, of the Responding Securityholder's Company Shares to the Initiating Securityholder on the terms set forth above, and the provisions of SECTION 10.6 shall apply in all other respects.

Related to Initiating Securityholder

  • Securityholder means the Person in whose name a Security is registered on the Registrar's books.

  • Non-Voting Member means a member of a Committee or Sub- Committee of the Council who is not a member of the Council and is not entitled to vote on any matter coming before that Committee or Sub- Committee;

  • Controlling Shareholders means controlling shareholders of the Company, as such term is defined in the Ordinance.

  • Initiating Party shall have the meaning set forth in Article 13.

  • Existing Securities means, collectively, the Equity Securities and the Debt Securities.
