Subscriber acknowledges that the Shares will be subject to lock-up provisions (the “Lock-up”) contained in the Insider Letter.
On or prior to the Closing Date, the Company will deliver to the Representative executed copies of the Trust Agreement, the Warrant Agreement, the Insider Letter and the Registration Rights Agreement.
