Insider Shareholder Approval definition

Insider Shareholder Approval means the approval by the disinterested shareholders of the Issuer in accordance with the rules and policies of the Toronto Stock Exchange to issue to insiders of the Issuer (as of the date hereof) an aggregate number of shares of common stock upon conversion of the Notes, exercise of the Warrants and/or the payment of interest into Unit Shares in excess of the Insider Issuance Cap in accordance with Section 607(g)(ii) of the TSX Company Manual.
Insider Shareholder Approval means the approval by the disinterested shareholders of the Company in accordance with the rules and policies of the Toronto Stock Exchange to issue to insiders of the Company (as of the date hereof) an aggregate number of shares of Common Stock upon conversion of the Notes, exercise of the Warrants and/or payment of Interest into Shares pursuant to Section 2(c) or Section 2(d) of the Note certificate (as the case may be) in excess of the Insider Issuance Cap in accordance with Section 607(g)(ii) of the TSX Company Manual.
Insider Shareholder Approval means the approval by the disinterested shareholders of IntelGenx to issue shares to insiders of IntelGenx in connection with the Subscription Agreement, the Amendment to Subscription Agreement and the IntelGenx Term Loan above the Insider Issuance Cap.
