INSPECTION & ACCEPTANCE. “Nonconforming Products” means Products that (i) do not meet the PO Specs to Cardinal’s satisfaction or (ii) cause Seller’s breach of the POT&C. Cardinal (or its designees), at any time, may inspect Products, and repair or replace any Nonconforming Products at Seller’s cost. Any inspections or remedial measures shall take place at a time and place satisfactory to Cardinal. Any payment or conditional acceptance by Cardinal for Products shall not to be construed or deemed as final acceptance by Cardinal. Acceptance or payment will not waive or limit any of Cardinal’s rights or remedies. In addition to any other of its rights or remedies at law or in equity, hereunder or otherwise, Cardinal may, in its sole discretion, and at Seller’s sole risk and expense, including, but not limited to, all shipping and handling costs (both ways), (i) return Nonconforming Products to Seller for full refund or credit, (ii) have Seller replace Nonconforming Products, (iii) have Seller repair Nonconforming Products, or (iv) accept Nonconforming Products conditioned on Seller refunding or crediting Cardinal an amount that represents diminished value of Nonconforming Products. For all Products under the PO, Seller provides, or shall be deemed to provide, the longest of the following: (i) a one (1) year warranty against defects in materials and workmanship, (ii) any warranty agreed to by Cardinal and Seller, or (iii) Seller’s standard warranty with respect to specific Products; the warranty period starts upon delivery and acceptance of Products by Cardinal.

The Government reserves the right to inspect or test some or all of the services that have been tendered for acceptance.   • Final completion and acceptance means the stage in the progress of the work as determined by the Contracting Officer and confirmed in writing to the Contractor, at which all work required under the contract has been completed in a satisfactory manner, subject to the discovery of defects after final completion, and except for items specifically excluded in the notice of final acceptance.

  • Letter of Acceptance of Tender means letter giving intimation to the tenderer that his tender has been accepted in accordance with the provisions contained in that letter.

  • Non-Acceptance of Proposal means another proposal was deemed more advantageous to the University or that all proposals were rejected.

  • Acceptance Tests means those tests performed during the Performance Period which are intended to determine compliance of Equipment and Software with the specifications and all other Attachments incorporated herein by reference and to determine the reliability of the Equipment.

  • Date of Acceptance means the date, which appears on the Notice of Acceptance and if no date appears is the date on which the Principal sent the Notice of Acceptance accepting the Contractor’s Tender.

  • Acceptance of Bid means the letter/fax or any memorandum communicating to the Bidder the acceptance of its Bid and includes an advance acceptance of his Bid.

  • Final Acceptance Date means, in respect of any Offer, the final date for acceptance of such Offer which, if such Offer is extended prior to becoming unconditional, shall be the final date for acceptance of the extended Offer (but, if such Offer is or becomes unconditional, disregarding any additional or further period during which such Offer is open for acceptance);

  • Surplus Interconnection Request means a request submitted by a Surplus Interconnection Customer, pursuant to Tariff, Attachment RR, to utilize Surplus Interconnection Service within the Transmission System in the PJM Region. A Surplus Interconnection Request is not a New Service Request.

  • Interconnection Request means a Generation Interconnection Request, a Transmission Interconnection Request and/or an IDR Transfer Agreement.

  • Acceptance Date has the meaning set forth in Section 2.05(a)(v)(D)(2).
