Inspection and Verification definition

Inspection and Verification. So long as the Revolving Credit has not been terminated and the Obligations paid in full, each Borrower will permit any of Lender's officers, agents or other representatives to visit and inspect, at any time (provided, however, that Lender shall, prior to the occurrence of an Event of Default, provide Borrower with prior reasonable notice of such visits or inspections), any of the Collateral, to examine all of such Borrower's books of account, records, reports and other papers, to make copies and extracts therefrom and to discuss its affairs, finances and accounts with its officers, employees and independent public accountants. All reasonable costs relating to any such visits and inspections shall be paid by Borrowers.
