Any such inspection pursuant to the Inspection Right shall take place on Equipment Manager’s premises (or such other place as otherwise reasonably agreed to by the Equipment Manager, Seller and Buyer) upon at least 72 hours’ prior notice and in accordance with all applicable laws, regulations, and safety rules and requirements.
As of the Closing Date, Buyer hereby acknowledges and agrees that (i) Buyer has, in connection with the Appraiser’s appraisal of the Equipment pursuant to the Inspection Right, received adequate information to purchase the Equipment on the Closing Date, and (ii) no further inspection of the Equipment other than pursuant to the Inspection Right is required by Buyer in order to consummate the purchase of the Equipment on the Closing Date.
