Institutional Class Shares definition

Institutional Class Shares means the EUR Institutional Class Shares, GBP Institutional Class Shares, CHF Institutional Class Shares and USD Institutional Class Shares.
Institutional Class Shares. ' means the EUR Institutional Class Accumulating Shares, GBP Institutional Class Accumulating Shares, CHF Institutional Class Accumulating Shares and USD Institutional Class Accumulating Shares.
Institutional Class Shares. (collectively, the "Shares"). In the event that hereafter the Trust establishes one or more additional Sub-Trusts (or Classes thereof) with respect to which it desires to retain the Distributor, it shall so notify the Distributor in writing (the "Notice"). If the Distributor is willing to render such services on the terms provided for herein it shall execute and deliver the Notice to the Trust, whereupon such Sub-Trust shall become a Fund hereunder (or such Class shall become a Class hereunder) and such Notice shall be attached to this contract and when attached shall be a part hereof.

  • The Transfer Agent agrees to waive the right to collect any fee or reimbursement to which it is entitled hereunder to the extent that collecting such fee or reimbursement would cause the fees and expenses incurred hereunder by the Institutional Class Shares of any given Portfolio to exceed 0.10% of the average net assets attributable to such Class of such Portfolio.

  • For performance by the Transfer Agent pursuant to this Agreement, the Fund agrees on behalf of the Institutional Class Shares of each Portfolio to pay the Transfer Agent a fee equal to $2.00 per trade executed, to be billed monthly in arrears.

  • Institutional Class Shares shall be (i) offered at net asset value and (ii) offered only to certain categories of institutional customers as approved from time to time by the Trustees and as set forth in the Prospectus.

  • Institutional Class: Shares of Institutional Class may be exchanged for shares of (i) any other Fidelity Advisor Fund: Institutional Class; and (ii) any Fidelity Retail Fund offering an exchange privilege to other Fidelity Retail Funds.

  • None of the expenses and costs of distributing or promoting Institutional Class Shares will be paid out of Fund assets.

  • CONVERSION RIGHTS Institutional Class Shares do not have a conversion feature.

  • The Fund agrees to reimburse the Transfer Agent for fees paid by the Transfer Agent to third parties who service accounts invested in Institutional Class Shares of a Portfolio pursuant to a sub-transfer agency, omnibus account service, sub-accounting, or networking agreements, as provided in Section 2.04 of the Agreement.

  • Institutional Class Shares do not automatically convert into shares of any other class.

  • Institutional Class Shares shall be (i) offered at net asset value, and (ii) offered only to certain categories of investors as approved from time to time by the Directors and as set forth in the Fund's Prospectus.

  • Institutional Class Shares are offered without a distribution plan or expenses for distribution or promotion.

Institutional Class Shares means the shares of beneficial interest of the Fund that have been established and designated by the Trust’s Board of Trustees as the Institutional Class Shares.
Institutional Class Shares means the Euro Institutional Class A Shares, Euro Institutional Class B Shares, Sterling Institutional Class A Shares, Sterling Institutional Class B Shares, Swiss Franc Institutional Class A Shares, Swiss Franc Institutional Class B Shares, US Dollar Institutional Class A Shares, US Dollar Institutional Class B Shares, Euro Institutional Pooled Class Shares, Sterling Institutional Pooled Class Shares, Swiss Franc Institutional Pooled Class Shares and US Dollar Institutional Pooled Class Shares.
Institutional Class Shares. ' means the JP¥ Institutional Class Shares.
Institutional Class Shares will be offered with no sales charges or transactions fees. Institutional Class Shares will not be subject to a Rule 12b-1 distribution fee but will be subject to a shareholder servicing fee of up to an annual rate of 0.25% of average daily net assets attributable to the Institutional Class Shares. Institutional Class Shares do not automatically convert into shares of any other class.
Institutional Class Shares means participating shares in a Sub-Fund designated as Institutional Class Shares, as
Institutional Class Shares means the EUR Class A2 Pooled Shares, GBP Class B2 Pooled Shares, USD Class C2 Pooled Shares and CHF Class D2 Pooled Shares.

Related to Institutional Class Shares

  • Institutional Accredited Investor Certificate means a certificate substantially in the form of Exhibit G hereto.

  • Institutional Investors means any regulated investment company, segregated asset account, foreign investment company, common trust fund, group trust or other investment arrangement, whether organized within or without the United States of America.

  • Institutional control means the continued surveillance, monitoring, and care of the disposal site after site closure and stabilization to insure the protection of the public health, safety, and welfare, and the

  • principal class of shares means the class or classes of shares representing a majority of the voting power and value of the company;

  • Institutional Client means a major commercial bank, corporation, insurance company, or substantially similar institution, which, as a substantial part of its business operations, purchases or sells securities and makes use of custodial services.

  • Institutional Clients means U.S. registered investment companies, or major, U.S.-based commercial banks, insurance companies, pension funds or substantially similar financial institutions which, as a substantial part of their business operations, purchase or sell securities and make use of custodial services.

  • Original Class B-4 Fractional Interest As to the first Distribution Date, the percentage obtained by dividing the sum of the Original Class B-5 Principal Balance and the Original Class B-6 Principal Balance by the sum of the Original Class A Non-PO Principal Balance and the Original Class B Principal Balance. The Original Class B-4 Fractional Interest is specified in Section 11.19.

  • Original Class B-5 Fractional Interest As to the first Distribution Date, the percentage obtained by dividing the Original Class B-6 Principal Balance by the sum of the Original Class A Non-PO Principal Balance and the Original Class B Principal Balance. The Original Class B-5 Fractional Interest is specified in Section 11.20.

  • Original Class B-1 Fractional Interest As to the first Distribution Date, the percentage obtained by dividing the sum of the Original Class B-2 Principal Balance, the Original Class B-3 Principal Balance, the Original Class B-4 Principal Balance, Original Class B-5 Principal Balance and the Original Class B-6 Principal Balance by the sum of the Original Class A Non-PO Principal Balance and the Original Class B Principal Balance. The Original Class B-1 Fractional Interest is specified in Section 11.16.

  • Institutional fund means a fund held by an institution exclusively for charitable purposes. The term does not include:

  • Original Class B-2 Fractional Interest As to the first Distribution Date, the percentage obtained by dividing the sum of the Original Class B-3 Principal Balance, the Original Class B-4 Principal Balance, Original Class B-5 Principal Balance and the Original Class B-6 Principal Balance by the sum of the Original Class A Non-PO Principal Balance and the Original Class B Principal Balance. The Original Class B-2 Fractional Interest is specified in Section 11.17.

  • Original Class B-5 Percentage The Class B-5 Percentage as of the Cut-Off Date, as set forth in Section 11.12.

  • Preliminary Class Notional Amount With respect to each Reference Tranche, the amount which is equal to the Class Notional Amount of such Reference Tranche immediately prior to such Payment Date, after the application of the Preliminary Tranche Write-down Amount in accordance with the same priorities set forth in Section 3.03(b) hereof, and after the application of the Preliminary Tranche Write-up Amount in accordance with the same priorities set forth in the Section 3.03(c) hereof.

  • Institutional use means use within the lines of, or on property necessary for the operation of buildings such as hospitals, schools, libraries, auditoriums, and office complexes.

  • Institutional Investor means (a) any Purchaser of a Note, (b) any holder of a Note holding (together with one or more of its affiliates) more than 5% of the aggregate principal amount of the Notes then outstanding, (c) any bank, trust company, savings and loan association or other financial institution, any pension plan, any investment company, any insurance company, any broker or dealer, or any other similar financial institution or entity, regardless of legal form, and (d) any Related Fund of any holder of any Note.

  • Special Class Tradesperson means a tradesperson who is engaged on work which requires the use of complex, high quality trade skills and experience which are not generally exercised in normal construction work. For the purpose of this definition, complex and high-quality trade skills and experience will be deemed to be acquired by the tradesperson:

  • Institutional Accredited Investor means an institution that is an "accredited investor" as that term is defined in Rule 501(a)(1), (2), (3) or (7) under the Securities Act.

  • Targeted Principal Classes As specified in the Preliminary Statement.

  • Individual Class Payment means the Participating Class Member’s pro rata share of the Net Settlement Amount calculated according to the number of Workweeks worked during the Class Period.

  • Institutional facility means an organization whose primary purpose is to provide a physical environment for patients to obtain health care services and shall not include those places where physicians, dentists, veterinarians, or other practitioners, who are duly licensed, engage in private practice.

  • Institutional Holder means any insurance company, bank, savings and loan association, trust company, investment company, charitable foundation, employee benefit plan (as defined in ERISA) or other institutional investor or financial institution.

  • Current Class B Interest Distribution Amount As to any Distribution Date, the amount distributed in respect of the Classes of Class B Certificates pursuant to Paragraphs fifth, eighth, eleventh, fourteenth, seventeenth and twentieth of Section 4.01(a) on such Distribution Date.

  • Original Class Certificate Principal Balance With respect to the Class A Certificates, the Mezzanine Certificates, the Class C Certificates and the Class P Certificates, the corresponding amounts set forth opposite such Class above in the Preliminary Statement.

  • Initial Class Certificate Balance As to each Class of Certificates, the Class Certificate Balance set forth in the Preliminary Statement.
