From the date hereof until the Closing, the Institutional Seller shall hold, maintain and enforce any such rights in accordance with the terms and conditions of any such agreement, and following the Closing, shall hold, maintain and enforce any such rights for the benefit of the Purchaser and the Company and its Subsidiaries (to the extent any such rights are determined not to be assignable).
