In addition, each Party may disclose, subject to any practicable arrangements to protect confidentiality, Confidential Information to the extent required under judicial or regulatory process or in connection with any judicial process regarding any legal action, suit or proceeding arising out of or relating to this Agreement or the Instruments of Transfer.
Each Party shall use reasonable best efforts to make, do, execute, or cause or procure to be made, done and executed such further acts, deeds, conveyances, consents and assurances without further consideration, which may reasonably be required or advisable to effect the transactions contemplated by this Agreement and the Instruments of Transfer.

The execution and delivery of this Agreement, the Instruments of Transfer and each of the other agreements and documents contemplated, the performance of all the terms and conditions to be performed by Seller and the consummation of the transactions contemplated hereby and thereby will be duly authorized and approved by the partners of Seller.
