Insurer Expenses definition

Insurer Expenses means any and all charges, fees, costs and expenses which the Insurer may reasonably pay or incur in connection with (a) the administration, enforcement, defense or preservation of any rights or security hereunder, (b) the pursuit of any remedies hereunder or otherwise afforded by law or equity, (c) any amendment, waiver or other action with respect to, or related to, this Indenture, whether or not executed or completed, (d) the violation by the County of any law, rule or regulation, or any judgment, order or decree applicable to it, or (e) any litigation or other dispute in connection with this Indenture or the transactions contemplated hereby, other than amounts resulting from the failure of the Insurer to honor its obligations under the Insurance Policy.
Insurer Expenses means, for any Monthly Collection Period, the aggregate amount of expenses owing to each Insurer pursuant to the terms of each applicable Insurance Agreement, including, without limitation, any Insurer Reimbursable Annual Surveillance Expenses or any Insurer Reimbursable Rapid Amortization Surveillance Expenses but excluding any Insurer Premiums and any Insurer Reimbursements, with respect to such Monthly Collection Period.
Insurer Expenses. With respect to any Class or sub-class of Senior Notes that is insured pursuant to an Insurance Policy, all expenses, cost, indemnification amounts and any other amounts payable to the Insurer relating to such Class or sub-class of Notes pursuant to the terms of the applicable Insurance Agreement.

Insurer Expenses means all charges, fees, costs and expenses that the Insurer may reasonably pay or incur in connection with (i) any accounts established to facilitate payments under the Insurance Policy and the Reserve Policy, (ii) the administration, enforcement, defense or preservation of any rights or security in the any Related Document, (iii) the pursuit of any remedies under this Indenture or any other Related Document or otherwise afforded by law or equity, (iv) any amendment, waiver or other action with respect to, or related to, this Indenture or any other Related Document whether or not executed or completed, or (v) any litigation or other dispute in connection with the Indenture or any other Related Document or the transactions contemplated thereby, other than costs resulting from the failure of the Insurer to honor its obligations under the Insurance Policy. In addition, Insurer Expenses shall include the Insurer’s right to charge a reasonable fee as a condition to executing any amendment, waiver or consent proposed in respect of this Indenture or any other Related Document.
