Intellectual Property Certificate definition
Intellectual Property Certificate a certificate dated the date hereof and signed by the President, Vice President or a Financial Officer of Holdings, listing all Intellectual Property owned by each Grantor in its own name on the date hereof, other than Trademarks or Copyrights arising under common law or state law, as to which no registration or other filing has been made, in a form reasonably satisfactory to the Collateral Agent.
Intellectual Property Certificate means the intellectual property certificate issued by the Intellectual Property Administration Authorities, which proves the respective intellectual properties of the Seller and the Purchaser and reflects the Transferred Intellectual Properties transferred to the Purchaser.
