The Obligations constitute "Senior ------------------- Indebtedness" of the Borrower under and as defined in the Senior Subordinated Note Indenture and the Senior Subordinated Credit Facility (and, prior to the Push-Down Date, under and as defined in Company Indenture and the Company Interim Credit Facility.
