Without limiting the foregoing, each Guarantor, jointly and severally, absolutely, irrevocably and unconditionally guarantees the full and timely payment and performance of the obligations of DTCC under Section 10.1 of the Interim Subservicing Agreement (all of the obligations in this Section 2(a) being collectively referred to as the “Subservicing Obligations”).

Each Guarantor agrees that, not later than the date that is one hundred eighty (180) days after the date hereof, it shall cause DTCC to terminate the Interim Subservicing Agreement.
