Internal IT Systems definition

Internal IT Systems means the hardware, Software, network and telecommunications equipment and Internet-related information technology infrastructure owned or leased by the Company or any of the Subsidiaries and used in their businesses.
Internal IT Systems means the information and communications technologies used by the Group including hardware, proprietary and third party software, networks, peripherals and associated documentation.
Internal IT Systems means any and all IT Systems owned by, or leased or licensed to, any Company, together with any and all IT Systems included in the Transferred Assets.

  • There are no circumstances in which the ownership, benefit, or right to use the Internal IT Systems may be lost by virtue of the Transaction or the performance of this Agreement.

  • MONY, and MLOA, in the operation of the Business maintain and follow a commercially reasonable disaster recovery plan that will enable the Internal IT Systems to be replaced and substituted in the event of a disaster without material disruption to their business.

  • None of the Group Companies has, in the twelve months prior to the date of this Agreement, received a written notice from a third party alleging that a Group Company is in default under licences or leases relating to the Internal IT Systems.

  • The Vendor has, in accordance with best industry practice, taken precautions to preserve the availability, security and integrity of the Internal IT Systems and the data and information stored on the Internal IT Systems.

  • The Vendor and the Employees shall have no further access to the Internal IT Systems following Closing, other than as expressly provided in the Licensing Agreement.

  • The Internal IT Systems are either owned by, or licensed or leased to, the Group Companies.


More Definitions of Internal IT Systems

Internal IT Systems means the computer hardware, software, computer networks and telecommunications and Internet-related equipment owned by or leased, licensed or subscribed to and controlled by the Company for information technology operations.
Internal IT Systems means the computer hardware, software, databases, computer networks and telecommunications and Internet-related equipment owned or leased by, or licensed to, the Acquired Companies and used for information technology operations in connection with the Business as currently conducted.
Internal IT Systems means all Hardware, Software and internal networks and communications technologies and services that are owned, leased or licensed by the Vendor in connection with the Cylix Business or the Purchaser and its Subsidiary in connection with the Purchaser Business, as applicable.
Internal IT Systems means the computer hardware, Software, computer networks and telecommunications and Internet-related equipment used for information technology or communications operations by the Company or Tamarac.
Internal IT Systems means the hardware, Software, data, databases, data communication lines, network and telecommunications equipment, Internet- related information technology infrastructure, wide area network and other information technology equipment, owned, leased or licensed by the Acquired Companies or by the Seller Parties or any of their Affiliates (other than the Acquired Companies) and used by the Acquired Companies.

Related to Internal IT Systems

  • Internal Procedures means in respect of the making of any one or more entries to, changes in or deletions of any one or more entries in the register at any time (including without limitation, original issuance or registration of transfer of ownership) the minimum number of the Warrant Agent’s internal procedures customary at such time for the entry, change or deletion made to be complete under the operating procedures followed at the time by the Warrant Agent, it being understood that neither preparation and issuance shall constitute part of such procedures for any purpose of this definition;

  • External Manager means either of the following: (1) A person who is seeking to be, or is, retained by a board or an investment vehicle to manage a portfolio of securities or other assets for compensation, or (2) A person who manages an investment fund and who offers or sells, or has offered or sold, an ownership interest in the investment fund to a board or an investment vehicle.

  • Systems means servers, hardware systems, databases, circuits, networks and other computer and telecommunications assets and equipment.

  • External User means a user of an Online Service that is not an employee, onsite contractor, or onsite agent of Customer or its Affiliates.

  • IT Systems means all software, computer hardware, servers, networks, platforms, peripherals, and similar or related items of automated, computerized, or other information technology (IT) networks and systems (including telecommunications networks and systems for voice, data, and video) owned, leased, licensed, or used (including through cloud-based or other third-party service providers) in the current conduct of the business of the Loan Parties.

  • External inspection means an inspection made when a boiler is in operation.
