International Shipments as used in the Original Agreement (and in this Agreement) includes shipments moving for the benefit of APL International, APL Co., TPI Shipments and CKD Shipments. The Original Agreement also formalized and consolidated agreements and understandings, which have been reached over the years between the parties, in anticipation of the transaction involving the recapitalization of LTS which occurred in May 1999 and resulted in a substantial change in ownership of LTS. The parties desire to amend and restate the Original Agreement to read as set forth in this Agreement in order to give effect to certain agreements and understandings among them regarding car supply and to make certain other technical changes and corrections as they have deemed necessary.
