Investment Conditions definition

Investment Conditions means (i) the Consolidated Coverage Ratio is not less than 2.0 to 1.0 and (ii) the Leverage Ratio is not greater than 5.0 to 1.0.
Investment Conditions means (i) no Default or Event of Default shall have occurred and be continuing or would result from the taking of the relevant action as to which the satisfaction of the Investment Conditions is being determined and (ii) on a Pro Forma Basis, immediately prior to and immediately after giving effect to any transaction that is subject to the Investment Conditions, either (A) (1) Availability is at least 12.5% of the Line Cap at such time and for the immediately preceding 30 days and (2) the Fixed Charge Coverage Ratio, on a Pro Forma Basis, is at least 1.0 to 1.0 or (B) Availability is at least 15.0% of the Line Cap at such time and for the immediately preceding 30 days.
Investment Conditions means as to any relevant action contemplated in this Agreement, (i) no Event of Default has then occurred and is continuing or would result from any action and (ii) either (A) (1) the Consolidated Fixed Charge Coverage Ratio would be at least 1.0 to 1.0 on a Pro Forma Basis for such action and (2) (I) Availability on a Pro Forma Basis immediately after giving effect to such action would be greater than the greater of (x) 10% of the Line Cap and (y) $10 million and (II) over the 20 consecutive Business Days prior to consummation of such action, Availability averaged no less than the greater of (x) 10% of the Line Cap and (y) $10 million, also on a Pro Forma Basis for such action or (B) (I) Availability on a Pro Forma Basis immediately after giving effect to such action would be greater than the greater of (x) 12.5% of the Line Cap and (y) $12.5 million and (II) over the 20 consecutive Business Days prior to consummation of such action, Availability averaged no less than the greater of (x) 12.5% of the Line Cap and (y) $12.5 million, also on a Pro Forma Basis for such action or (B) (I) Availability on a Pro Forma Basis immediately after giving effect to such action would be greater than the greater of (x) 25% of the Line Cap and (y) $25 million and (II) over the 20 consecutive Business Days prior to consummation of such action, Availability averaged no less than the greater of (x) 25% of the Line Cap and (y) $25 million, also on a Pro Forma Basis for such action.

Investment Conditions means the following conditions to be met by the Wakeel:
Investment Conditions means, both before and after giving effect to such investment, (a) no Default or Event of Default exists, (b) no Borrowing Base Deficiency exists, (c) Availability, is equal to or greater than, (i) if the Elected Commitments are then in effect, 15% of the then effective Aggregate Elected Commitment Amounts and (ii) if the Elected Commitments are not then in effect, 15% of the then effective Borrowing Base, and (d) the Parent demonstrates a pro forma Leverage Ratio of less than or equal to 2.75 to 1.00 (with Consolidated EBITDAX being calculated based on the financial statements most recently provided and Debt being calculated as of the date of the applicable transaction and after giving effect thereto).
Investment Conditions means, both before and after giving effect to such investment, (a) no Default or Event of Default exists, (b) no Borrowing Base Deficiency exists, (c) Availability, is equal to or greater than, (i) if the Elected Commitments are then in effect, 20% of the then effective Aggregate Elected Commitment Amounts (as reduced by the Borrowing Limitation) and (ii) if the Elected Commitments are not then in effect, 20% of the then effective Borrowing Base (as reduced by the Borrowing Limitation), and (d) the Parent demonstrates a pro forma Leverage Ratio of less than or equal to 2.50 to 1.00 (with Consolidated EBITDAX being calculated based on the financial statements most recently provided and Debt being calculated as of the date of the applicable transaction and after giving effect thereto).
Investment Conditions means, both before and after giving effect to such investment, (i) no Default or Event of Default exists, (ii) no Borrowing Base Deficiency exists, (iii) Availability, is equal to or greater than 10% of the then effective Borrowing Base, and (iv) the Parent demonstrates a pro forma Leverage Ratio of less than or equal to 3.00 to 1.00 (with Consolidated EBITDAX being calculated based on the financial statements most recently provided and Debt being calculated as of the date of the applicable transaction and after giving effect thereto).
Investment Conditions means, with respect to any Investment that: (a) no Default has occurred and is continuing or would result therefrom (without duplicating subsection (e) below); (b) any Person in which such Investment is made is in the business of mining or mining related activities or the asset acquired is a mining or mining related asset; (c) immediately after giving effect to any such Investment no Material Adverse Change would be reasonably expected to occur (without duplicating subsection (e) below); (d) such Investment does not breach, conflict with or violate any Requirements of Law; and (e) immediately after giving effect to such Investment, the Borrower shall be in compliance with all covenants set forth in Section 10.1 on a pro forma basis.
Investment Conditions means, on any date of determination in connection with any proposed transaction with respect to which the satisfaction of Investment Conditions are required hereunder, that (a) Loan Parties and their Subsidiaries, on a consolidated basis, shall have a Fixed Charge Coverage Ratio (calculated for the fiscal quarter immediately preceding a fiscal quarter in which the transaction requiring compliance with the Investment Conditions has occurred, on a pro forma basis, as if such transaction occurred on the last day of such preceding quarter) of at least 1.0:1.0 on the date of such proposed transaction and, in addition, solely in the case of either a proposed Permitted Acquisition or proposed Majority Interest JV transaction, on a projected, pro forma basis at all times during the twelve (12) month period after giving effect to such proposed Permitted Acquisition or proposed Majority Interest JV transaction and (c) no Default or Event of Default shall have occurred and be continuing as of such date or shall exist after giving effect to the consummation of such proposed transaction
