Investor Allocable Dilution definition

Investor Allocable Dilution means, for any ASA Measuring Period, the product of the aggregate amount of Dilution for that ASA Measuring Period as to which neither the applicable Seller nor the Guarantor has made any payment required by Sections 3.1 and 3.5 of the Purchase Agreement, multiplied by the Series Loss Allocation
Investor Allocable Dilution means for any Calculation Period or ASA Measuring Period, the product of the aggregate amount of Dilution for that Calculation Period or ASA Measuring Period as to which neither the applicable Seller nor the Guarantor has made any payment required by Section 3.1 of the Purchase Agreement or the Seller Guaranty on account of Seller Dilution Adjustments multiplied by the Series Loss Allocation Percentage as of the beginning of that Calculation Period or ASA Measuring Period, multiplied by the Investor Allocation Percentage as of the first Business Day of that Calculation Period or ASA Measuring Period.

  • Notwithstanding the foregoing, no redemption pursuant to this Article VII shall occur if the Series Invested Amount attributable to any Senior Class or Senior Subordinated Class of any Series in Group I shall have been reduced on account of Investor Write-Offs and/or Investor Allocable Dilution (and not subsequently reinstated) unless all such reductions are reinstated prior to such redemption.
